Aims & Objectives

(This policy has been prepared pursuant to and in accordance with the requirements of section 135 of the Companies Act, 2013 (hereinafter called as “the Act”) and the companies (CSR Policy) rules, 2014, notified by The Ministry of Corporate Affairs vide notification dated 27th February, 2014 (“CSR rules”), as amended from time to time).

Health Care Responsibility

Eradicating hunger, poverty, and malnutrition and promoting health care including preventive health care and sanitation and making safe drinking water available.

Responsibility to Educate

Developing special education and employment enhancing vocational skills, especially among children, women, elderly, and uniquely capable individuals. Investing in livelihood enhancement projects. Rendering help and scholarships, assistance to deserving persons and poor and needy without restrictions of caste, creed or religion, etc.

Satisfying Physical Needs

We are committed to providing help and assistance to needy and deserving people without any discretion of caste, creed, and religion, etc. To accomplish it, we provide them with many necessities of life, like money, clothes, articles, food, and shelter, which help them survive tough life circumstances.

Responsibility of Environment Protection

AT CES, we consider it our social responsibility to give back to nature through care and protection. We ensure practices that promote environmental sustainability, ecological balance, and protection of flora and fauna, animal, welfare, agroforestry, conservation of natural resources and maintenance of the quality of soil, air, and water. We also run programs to develop awareness about the importance and protection of the environment among people.

Programmes & Projects to Accomplish Aim of Social Responsibility

• The CES foundation trust has undertaken cataract operation for more than 100 people at Chennai, through sankara nithralaya, nonprofit eye hospital at Chennai. The programme has been undertaken, after approval of the CSR committee.
• The CES foundation also has plans to provide skill-based training, such as car driving training, to unemployed men and stitching training to underprivileged and unemployed women.
• The CES foundation may take new projects that are approved by the CSR committee (CSR Committee), as deemed appropriate for the benefit of the society.
• The CES foundation shall comply with any other stipulation or restriction as provided under the CSR rules or any clarification or circular issued by the ministry of corporate affairs, from time to time.

Modality of Execution & Implementation

• Each project may be executed in any of the following modes:
  • Either directly by CES Limited
  • Through CES foundation trust or society or a section 8 company established for the above purpose
• While approving each specific project, the CSR committee will prescribe the period for implementation, a mechanism for ensuring the end use of the funds and will also do appropriate reporting.
• All proposals for a CSR project should be submitted to the company secretary who in turn will place it before the CSR committee for necessary consideration and approval.

CSR Budget

• The annual CSR budget shall be reviewed and recommended by the CSR committee for each of the focused areas.
• CSR projects or programs or activities undertaken in India only shall amount to CSR expenditure. The surplus, if any, arising out of any CSR project or program or activity shall not form part of the business profits of the company.

Monitoring & Reporting

• Report on the progress of the CSR projects undertaken by the company will be submitted to the CSR committee with full details of the cost incurred, date of completion and results achieved regularly.
• To ensure proper use of the funds, officials may be deputed to personally inspect/verify the execution of the project/expenditure incurred.
• A summarised report on the implementation of the approved projects should be placed at least once in six months before the committee.
• CSR initiatives of the company will be reported in the annual report of the company in compliance with Section 135 of the companies act, 2013 and rules made thereunder.

Authority & Amendments

This policy has been approved by the board of directors of the company based on the recommendations of the CSR committee. This policy may be amended from time to time by the board, as it deems appropriate.
